Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Oriva Health website and services ("Services"). By using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a dental practice or organization, you confirm you have authority to do so.
1. The Services
Oriva offers a pre-visit triage and scheduling platform, including an adaptive questionnaire and a voice assistant ("Veronica"), that helps gather patient-reported information before a visit and prepares a summary for the practice. Features may change over time as we improve the Services.
2. Eligibility and accounts
You must be able to form a binding contract to use the Services. You are responsible for the accuracy of information you provide and for keeping any account credentials secure.
3. Responsibilities of dental practices
- Ensure a qualified clinician reviews triage output before relying on it for care decisions.
- Obtain any patient consents and provide any notices required by law for the information processed through the Services.
- Use the Services in compliance with applicable laws, including health-privacy rules. Where we process protected health information on your behalf, our HIPAA Business Associate Agreement governs that processing.
4. Acceptable use
You agree not to misuse the Services, including by attempting to disrupt them, access them without authorization, reverse engineer them, or use them for unlawful purposes.
5. Intellectual property
The Services, including the software, content, and "Oriva" and "Veronica" branding, are owned by Oriva or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services as permitted by these Terms. You retain rights to the data you submit.
6. Fees
Where the Services are offered for a fee, the applicable pricing and payment terms will be set out in a separate order or agreement. Unless stated otherwise there, fees are non-refundable except as required by law.
7. Disclaimers
The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or that triage output will be accurate or complete in every case.
8. Limitation of liability
To the maximum extent permitted by law, Oriva will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Services will not exceed the amounts you paid to us for the Services in the twelve months before the event giving rise to the claim.
9. Indemnification
You agree to indemnify Oriva against claims arising from your misuse of the Services or your breach of these Terms or applicable law.
10. Termination
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or if necessary to protect the Services or comply with law. Provisions that by their nature should survive termination will survive.
11. Governing law
These Terms are governed by the laws of the State of Colorado, USA, without regard to its conflict-of-laws rules. The courts located in Colorado will have jurisdiction over disputes, unless applicable law requires otherwise.
12. Changes
We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date. Your continued use of the Services after changes take effect means you accept the updated Terms.
